CBS Radio, Entercom Enter Into Merger Amendment

In an 8K filing with the SEC, Entercom Communications, CBS Corp. and CBS Radio Inc. entered into an amendment to its merger plan announced last February. Under the merger agreement, CBS Radio and Entercom were to request the registration statement required to be filed by each to be declared effective by the SEC as soon as reasonably practical following the merger agreement. This amendment would temporarily delay requesting effectiveness of the registration statements.
The amendment provides that, among other things, the merger agreement can be terminated by either CBS or Entercom if the merger has not close as of January 31, 2018. Each of CBS and Entercom has the right to extend such date until May 2, 2018 if, by November 2, 2017, the approval of the FCC has not been obtained. Entercom expects to complete the transaction during fourth quarter of 2017.
