Cumulus Schedules Special Meeting of Stockholders

Cumulus Media will hold a Special Meeting of Stockholders at the Company's offices in Atlanta on January 26 at 10:30am. During the meeting, stockholders will vote o a proposal to approve the issuance of additional shares of its class A common stock in connection with a private exchange offer for the outstanding 7.75% senior notes due 2019.
Holders will also vote on a proposal to approve and adopt an amendment and restatement of the company's Third Amended and Restated Certificate of Incorporation, as amended, which authorizes the issuance of up to 100 shares of each of two new classes of common stock, class D common stock, $.01 par value per share, and class E common stock, $.01 par value per share.
Only holders of record of shares of class A common stock or class C common stock at the close of business on December 14 are entitled to vote. Holders of a majority of the voting power represented by the outstanding shares of class A common stock and class C common stock, voting together as a single class, must be present in person or by proxy in order for the Special Meeting to be validly held.
