Entravision Communications Corporation has announced a new executive compensation agreement with Chief Revenue Officer Juan Navarro, formalized on May 28. The move comes as part of a broader update to its executive structure and coincides with the company's annual shareholders meeting.
Under the new agreement, Navarro will continue in his role as Chief Revenue Officer, earning an annual base salary of $400,000. He is eligible for a target annual bonus equal to 60% of his salary and may receive equity incentive grants under the company's equity plans. Though Navarro will not participate in the 2025 Executive Cash Incentive Bonus Plan, he will still be eligible for severance benefits through a newly signed Participation Agreement.
As part of that agreement, Navarro is designated a Group II executive under Entravision's Executive Severance and Change in Control Plan. If he is terminated before the end of 2026, he will be treated as a covered executive for the purposes of severance calculations, based on his base salary and bonus target.
In addition to executive changes, Entravision held its annual meeting of stockholders on May 29. Shareholders re-elected all eight directors, ratified Deloitte & Touche LLP as the independent auditor for the fiscal year ending December 31, 2025, and approved a non-binding advisory resolution on executive compensation.
Among those re-elected to the board were Paul Anton Zevnik, Gilbert R. Vasquez, Martha Elena Diaz, and Lara Sweet. All directors received majority support, with vote margins ranging from roughly 80% to over 98%.
Deloitte's reappointment was also widely supported, with more than 99% of votes cast in favor.
