MediaCo Delays Q3 Filing, Projects Higher Revs

MediaCo Holding Inc., owner of Estrella Media and WBLS and WQHT (Hot 97) in New York, has notified the Securities & Exchange Commission that it will be late in filing its third quarter earnings report - even as the company previews strong revenue growth paired with a sharply higher loss.

In a Form 12b-25 submitted Friday, November 14, CFO and Treasurer Debra DeFelice said MediaCo was unable to complete its Form 10-Q for the period ending September 30 without "unreasonable effort or expense." The filing grants the company a five-day extension, and MediaCo said it expects to submit the delayed report within the SEC's grace period.

While full results are still being finalized, MediaCo disclosed that net revenue for Q3 is projected to climb approximately 19% year-over-year, fueled primarily by gains in its digital operations. At the same time, the company's net loss is expected to widen by roughly 130% compared to last year.

The increased loss stems largely from a technical accounting adjustment tied to outstanding warrants. The mark-to-market fair value requirement forces companies to revalue warrants each quarter, a non-cash process that can significantly impact reported earnings despite having no direct effect on operational performance.

MediaCo also noted that it has remained current on all other required SEC filings over the past year. The update comes as the company's Nasdaq-listed shares have been trading below $1 since November 4, placing additional scrutiny on its financial disclosures.
