Stingray Group Inc. has announced an agreement to acquire TuneIn Holdings, Inc., the global live audio streaming platform, in a deal valued at up to $175 million. The Montreal-based music and media company will pay $150 million at closing and up to $25 million one year later, financing the purchase through a newly secured $150 million term loan.

The transaction, expected to close by the end of 2025, remains subject to TuneIn stockholder approval and regulatory clearance. The acquisition is projected to expand Stingray's global digital audio footprint and bolster its advertising capabilities by incorporating TuneIn's ad technology and diverse content portfolio.

Founded in 2002, TuneIn serves more than 75 million monthly active listeners in over 100 countries, offering access to 100,000 radio stations, podcasts, music channels, news, sports, and audiobooks across 200 connected platforms, including more than 50 in-car audio systems.

"This acquisition marks a pivotal moment in Stingray's journey to strengthen its position as a global leader in audio entertainment and digital advertising," said Eric Boyko, President, Co-founder, and CEO of Stingray. "Together, we are poised to redefine audio for a connected world."

Stingray expects the combined company to generate over $400 million (CA$560 million) in annual revenue. TuneIn will continue operating under its existing brand, led by CEO Richard Stern, who called Stingray "the ideal partner to propel TuneIn's next chapter of growth."
